Terms of Service

§1 Agreement to Terms

By accessing or using the services provided by FlowStation AI (“Flowstation,” “we,” “us,” or “our”), including our website at flowstation.ai and our permit compliance pre-checking services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our Services.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

§2 Description of Services

Flowstation provides AI-powered permit compliance pre-checking services for the Canadian construction industry. Our Services include:

  • Reviewing construction drawings and plans against applicable municipal zoning bylaws.
  • Generating bylaw-cited compliance reports identifying potential non-conformities.
  • Providing human expert review of all AI-generated compliance outputs.
  • Consulting services related to permit compliance pre-screening for municipalities.

§3 Advisory Nature of Outputs

IMPORTANT: All Flowstation compliance reports, findings, and outputs are advisory in nature. They do not constitute and must not be relied upon as:

  • A permit approval or denial.
  • A legal opinion or legal advice.
  • A professional engineering or architectural stamp or certification.
  • A guarantee that a permit application will be approved by any municipal authority.
  • A substitute for professional review by a licensed architect, engineer, or expert retained by the client.

Flowstation pre-check reports are intended to identify potential compliance issues for further review. Final permit decisions rest solely with the applicable municipal authority. Clients are responsible for engaging their own qualified professionals to review and act on Flowstation outputs.

§4 User Responsibilities

By using our Services, you agree to:

  • Provide accurate information: You are responsible for ensuring that all drawings, plans, and project information submitted to Flowstation are accurate, current, and complete. Flowstation is not responsible for errors in our reports that result from inaccurate or incomplete submissions.
  • Have authorization: You represent that you have the right to submit the drawings and project data provided to us, and that your use of our Services does not violate any third-party intellectual property rights or confidentiality obligations.
  • Professional review: You agree to have all Flowstation outputs reviewed by qualified professionals (architects, engineers, planners, or legal counsel as appropriate) before taking action on any findings.
  • No misrepresentation: You agree not to represent Flowstation reports as official permit approvals, professional certifications, or government endorsements.

§5 No Guarantee of Permit Approval

Flowstation does not guarantee that any permit application will be approved by any municipal, provincial, or federal authority. Zoning bylaws, development permit area guidelines, building codes, and municipal policies are subject to change, interpretation, and discretionary application by municipal officials. A Flowstation pre-check report that identifies no non-conformities does not guarantee that a permit will be issued. Municipal reviewers may identify issues outside the scope of Flowstation's analysis, apply discretionary standards, or interpret bylaws differently.

§6 Intellectual Property

Your content: You retain all ownership rights in the drawings, plans, and project data you submit to Flowstation. By submitting content, you grant us a limited, non-exclusive, non-transferable license to process your content solely for the purpose of providing our Services.

Our content: The Flowstation platform, methodology, report templates, website content, and all associated intellectual property remain the property of FlowStation AI. You may use Flowstation reports for your own internal business purposes, including submitting them alongside permit applications, but you may not resell, redistribute, or commercially exploit our reports or methodology.

§7 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Flowstation's total liability for any claims arising out of or related to our Services shall not exceed the fees paid by you to Flowstation for the specific engagement giving rise to the claim.
  • Flowstation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.
  • Flowstation shall not be liable for any damages resulting from: permit denials or delays by municipal authorities; changes to zoning bylaws or municipal policies after a report is issued; errors in client-submitted drawings or project data; reliance on Flowstation reports without independent professional review; or any third-party actions or omissions.

§8 Indemnification

You agree to indemnify, defend, and hold harmless FlowStation AI, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: your use of our Services; your violation of these Terms; your violation of any applicable law or regulation; or any third-party claims arising from the drawings, data, or information you submit to Flowstation.

§9 Payment Terms

Fees for Flowstation Services are quoted on a per-engagement basis and are due upon acceptance of a proposal or as otherwise agreed in writing. All fees are quoted and payable in Canadian dollars (CAD). Late payments may be subject to interest at the rate of 1.5% per month. Flowstation reserves the right to suspend Services for accounts with outstanding balances exceeding 30 days.

§10 Confidentiality

Flowstation will treat all client-submitted drawings and project data as confidential information. We will not disclose your project data to third parties except as required to provide our Services (e.g., to our qualified expert reviewers, who are bound by confidentiality obligations). This confidentiality obligation survives termination of these Terms.

§11 Termination

Either party may terminate an engagement by providing written notice. Upon termination, Flowstation will delete all project data in accordance with our 30-day data retention policy. Sections of these Terms that by their nature should survive termination (including limitation of liability, indemnification, confidentiality, and governing law) will survive.

§12 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

§13 Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice on our website at least 30 days before the changes take effect. Your continued use of our Services after the effective date of any changes constitutes acceptance of the revised Terms.

§14 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
